Terms of use

1. Purpose

These Terms of Use ('ToU') define the terms and conditions for using the platform Sellavi, accessible at https://sellavi.ai, published by CORTEXIA GROUP SAS.

Use of the platform is subject to full and unconditional acceptance of these ToU. By signing up or using the services, you agree to be bound by these terms.

2. Acceptance of the ToU

Signing up on the Sellavi platform constitutes express and unreserved acceptance of these ToU. If you do not accept these terms, you must refrain from using the services offered.

CORTEXIA GROUP reserves the right to modify the ToU at any time. Changes will be notified to users by email or through the platform. Continued use of the services after notification constitutes acceptance of the new terms.

3. Registration and user account

Registration on Sellavi is open to any adult natural person and any legal entity acting in a professional capacity. The user undertakes to provide accurate, complete and up-to-date information when registering.

Account creation

The user receives a login and chooses a confidential password. They are solely responsible for the confidentiality of their credentials and for all actions performed from their account.

Suspension and termination

CORTEXIA GROUP reserves the right to suspend or terminate an account in the event of a breach of the ToU, fraud, payment default or any other legitimate reason, without notice or compensation.

4. Services offered

Sellavi is a B2B SaaS platform for e-commerce and multi-marketplace management offering in particular:

• centralization and synchronization of product catalogs across several marketplaces (Cdiscount, Amazon, Fnac, Rakuten, TikTok Shop, etc.);
• automatic management of stock, prices and orders;
• supplier integration;
• an integrated wallet (Sellavi Wallet) based on Revolut Merchant;
• access to specialized AI agents for analysis, support and sales optimization;
• an analytics dashboard and detailed reports.

5. User obligations

The user undertakes to:

• use the platform fairly, in compliance with applicable laws and regulations;
• not sell illegal, counterfeit, dangerous products, or products prohibited for sale in France and the European Union;
• comply with the terms of the third-party marketplaces on which they operate;
• not attempt to circumvent the platform's security measures;
• not use the platform for fraud, money laundering or terrorism financing;
• report any anomaly or suspicious use of their account.

6. Intellectual property

All elements of the Sellavi platform (texts, graphics, logos, images, videos, software, databases, trademarks) are the exclusive property of CORTEXIA GROUP or its partners, and are protected by French and international intellectual property laws.

Any reproduction, representation, modification or exploitation, in whole or in part, without prior written authorization, is prohibited and constitutes infringement (Articles L.335-2 et seq. of the French Intellectual Property Code).

7. Personal data protection

CORTEXIA GROUP processes users' personal data in accordance with Regulation (EU) 2016/679 (GDPR) and the amended French Data Protection Act of January 6, 1978. Full processing details are set out in our privacy policy.

8. Sellavi Wallet (prepaid account)

The Sellavi Wallet is a prepaid wallet service allowing the user to fund their account to pay supplier orders. Transactions are operated via Revolut Merchant, payment partner.

• Funds loaded onto the Wallet are strictly intended for paying orders to suppliers integrated with Sellavi.
• No interest is paid on Wallet balances.
• The balance is non-refundable except in the case of full account termination, under the conditions set out in the return and refund policy.
• CORTEXIA GROUP reserves the right to block any suspicious transaction as part of its AML/CFT obligations.

9. Limitation of liability

Sellavi makes every effort to provide a quality service, but cannot guarantee uninterrupted, error-free operation. CORTEXIA GROUP cannot be held liable for:

• interruptions related to maintenance, updates or force majeure;
• malfunctions of third-party services (marketplaces, suppliers, payment providers);
• losses of revenue, margin or customers indirectly related to use of the services;
• product content, prices or texts provided by the user or third-party suppliers.

CORTEXIA GROUP's liability, all causes combined, is limited to the amounts actually paid by the user for their subscription over the twelve (12) months preceding the triggering event.

10. Changes to the ToU

CORTEXIA GROUP may modify these ToU at any time to adapt them to changes in the platform, services, regulations or case law. Any substantial change will be notified by email with at least 30 days' notice. Absent express objection within this period, the new ToU apply.

11. Applicable law and jurisdiction

These ToU are governed by French law. In the event of a dispute, and after an attempt at amicable resolution, the courts within the jurisdiction of the Paris Court of Appeal shall have exclusive jurisdiction.

In accordance with Articles L.616-1 and R.616-1 of the French Consumer Code, consumer users may use a consumer mediator. The European Commission's online dispute resolution (ODR) platform: ec.europa.eu/consumers/odr.
