Terms of sale

1. Preamble

These Terms of Sale ('ToS') govern the subscription to plans of the platform Sellavi, published by CORTEXIA GROUP SAS. They apply to any order placed by a professional or consumer user.

Any subscription implies full and unconditional acceptance of these ToS, as well as the ToU and the privacy policy.

2. Services offered

Sellavi offers several subscription plans to its SaaS platform for e-commerce and multi-marketplace management.

3. Pricing

Prices are expressed in euros, excluding tax. The applicable French VAT (20%) is applied at invoicing, except where exemptions apply (intra-community reverse charge, etc.).

CORTEXIA GROUP reserves the right to modify its prices at any time. Changes do not apply to current subscriptions, but to renewals occurring after their notification (30 days' notice).

4. Order and subscription

Subscription is done directly online through the platform. The user:

1. chooses their pack;
2. enters their billing information;
3. enters a payment method (card via Revolut Merchant);
4. confirms the order by accepting these ToS.

Confirming the order triggers the charge and the immediate activation of the service. A confirmation email and an invoice are sent to the user.

5. Payment

Payment is made by card via the payment provider Revolut Merchant. No banking data is stored by CORTEXIA GROUP.

• Subscriptions are charged monthly or annually, in advance, from the subscription date.
• In the event of payment default, access to the services may be suspended after formal notice remains without effect for 8 days.
• Any late payment automatically triggers penalties at the legal interest rate plus 5 points, as well as a fixed recovery indemnity of €40 (Article L.441-10 of the French Commercial Code).

6. Duration and cancellation

Subscriptions are entered into:

• No commitment on the monthly plan, cancellable at any time with effect at the end of the current month;
• For a 12-month period on the annual plan, with tacit renewal unless canceled 30 days before expiry.

Cancellation is done from the user area or by email to contact@sellavi.ai.

7. Right of withdrawal

In accordance with Article L.221-18 of the French Consumer Code, consumer users have a period of 14 days from subscription to withdraw without giving a reason.

To exercise this right, contact contact@sellavi.ai. However, in accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal cannot be exercised if performance of the service began with the consumer's express consent and waiver of their right of withdrawal. 8. Refunds

9. Warranties and liability

CORTEXIA GROUP undertakes to provide a service compliant with the subscription terms and industry best practices. The platform has a target SLA of 99.5% monthly availability, excluding planned maintenance and force majeure.

CORTEXIA GROUP's liability is limited under the conditions defined in Article 9 of the ToU.

10. Intellectual property

The subscription grants the user a personal, non-exclusive and non-transferable right to use the Sellavi services, limited to the subscription period. No transfer of intellectual property rights is granted.

12. Mediation and disputes

In the event of a dispute not resolved amicably, consumers may refer the matter free of charge to the competent consumer mediator. A European online dispute resolution platform is available: ec.europa.eu/consumers/odr.

Absent an amicable agreement, any dispute relating to these ToS falls under the exclusive jurisdiction of the courts of Paris (except mandatory public policy provisions for consumers).
